OXJAM GET SEEN, GET HEARD COMPETITION

  1. You may enter the competition and qualify as an entrant to this competition (“Entrant”/”You”) by filming  audio-video content of You or your band performing music at a music event organised as part of Oxfam’s “Oxjam” initiative (the “Material”) and either

(i)  uploading the Material to the Oxjam microsite at www.mtv.co.uk/oxjam (the (Microsite”) and inputting the required Band Details as listed at the end of these terms and conditions.

OR

(ii) printing out, completing your Band Details required below and signing these terms and conditions and sending them together with Your Material to Oxjam Competition, MTV Networks Europe, 17-29 Hawley Crescent London NW1 8TT.

The Material may be filmed by someone else, but the Material must be submitted by the Entrant (who must feature as a performer in the Material).

  1. You hereby authorise MTV to

(i)                  upload Your Material and Band Details to the Oxjam microsite and make it available for viewing online in whole or in part by the general public;

(ii)                broadcast Your Material and Band Details in whole or in part on MTVNE’s television channels and other distribution platforms;

(iii)               further use Your Material in accordance with the licence granted in clause 17 of these terms and condition;

(iv)               display your Band Details online, on MTVNE’s television services and in other media to identify You and Your band in connection with Your Material and this competition.

 MTVNE reserves its right to remove or refuse to upload any Material in its sole and absolute discretion.

You have the right to require MTVNE to stop using Your Material at any time, and MTVNE shall comply with such request in so far as MTVNE has control over such use. However, if You make such a request, You will no longer be able to take part in this competition.

 

  1. Entrant confirms that Entrant has obtained permission from the following people to enter this competition and for the Material (including any musical composition and/or lyrics) to be used on the Microsite AND on MTVNE’s television channels, websites and otherwise in any and all media as set out in clause 17:

(i)                  the person who filmed the Material;

(ii)                all band members

(iii)               any other person who appears in the Material.

 

  1. This competition is not open to employees and immediate relatives of employees of Viacom Brand Solutions Limited (MTVNE) and/or of MTV Networks Europe and/or Oxfam and/or V or of their respective parents, subsidiaries or affiliated companies or any other person professionally connected with this competition.

 

  1. CLOSING DATE is 23.59 GMT on 30th November 2007.

 

  1. ENTRY CONDITIONS

·         UK AND IRELAND Entrants must be resident in UK or Ireland.

·         AGE Entrants must be aged sixteen (16) and over. Entrants aged under eighteen (18) must obtain parental consent prior to entering this competition.

·         ALLOW US TO PUT MATERIAL ON TV AND ONLINE IN CONNECTION WITH THIS COMPETITION: You authorise MTVNE to exhibit Your Material in all media worldwide including streaming Your Material online and broadcasting on the MTVNE television services. You also promise to sign all release forms and other documentation provided by MTVNE in the event that MTVNE films you as part of this competition..

·         EDITORIAL QUALITY Any Material entered must in MTVNE’s sole discretion be of adequate editorial quality and legally appropriate for broadcast on MTVNE’s television channels and websites and MTVNE reserves the right to disqualify any Material or entrant at MTVNE’s sole discretion. Entrants must comply with any guidelines set out on the Get Seen, Get Heard website.

·         COPYRIGHT FREE/NO RECORDING CONTRACT; the Material must be original, have been created by the Entrant or a member of Entrant’s band and not any other third party. Material must not contain any third party copyright material (eg music, photos or footage). For example we cannot accept samples, lyrics or songs written by other people. You must ensure that your Material is free from any right or claim by anyone, including, but not limited to under any recording contract, publishing contract, or any union, guild or collection society such as the Performance Rights Society and you agree that you will inform us immediately if this status changes,

·         VIDEO FORMATS Videos must be no more than 100 MB in size. We accept these file types: 3GP, ASF, AVI, DV, GVI, FLV, MOV, MP4, MPEG, MPG, QT, WMV . (Sorry, no RAM, RM, or SWF. If You have created a SWF animation several commonly available tools will allow You to convert that into a video file.)

  1. WINNERS – subject to MTVNE receiving prior to the Closing date a sufficient number of entries which are in MVNE’s opinion of adequate editorial and musical quality and appropriate for broadcast, Qualifiers, Semi Finalists, Finalists, and Winners shall be selected as follows:

STAGE ONE: Subsequent to the Closing Date (exact date to be selected by MTVNE) a panel of industry experts as chosen by MTVNE will select from the Material up to one hundred (100) of the best Entrants (using MTVE’s sole judgement). MTVNE, at their own discretion, will divide them into three (3) genres of Pop, Urban, and Rock/Alternative. The Entrant’s Material will be made available on the Microsite. Between 3 December 2007 and 13 January 2008, members of the public will be invited to vote for their favourite Material from the three (3) genres.

Approximately the following will be selected as qualifiers: five (5) Entrants with the most amounts of votes in the Pop category, ten (10) Entrants with the most amounts of votes in the Urban category, ten (10) Entrants with the most votes in the Rock/Alternative category. MTVNE will have absolute discretion to pick more or less Qualifiers dependent on the quality of the Material (in MTVNE’s sole opinion). (“Qualifier(s)”) Qualifiers will be notified by telephone during January 2008 (dates/month subject to change at MTVNE’s discretion).

STAGE TWO: An MTVNE Panel will select five (5) of the best Qualifiers. (“Semi-Finalists”). Semi-Finalists will be notified by telephone during May 2008 (dates/month subject to change at MTVNE’s discretion).

STAGE THREE: A panel of industry experts chosen by MTVNE will select at their discretion up to three (3) of the best Semi-Finalists (“Finalist(s)”) Finalists will be notified by telephone during May 2008 (dates/month subject to change at MTVNE’s discretion).

STAGE FOUR: A panel of industry experts chosen by MTVNE will select one (1) winner (“Winner(s)”). The Winner will be notified in person during the “Top 3” studio-based show and/or similar programming during May/June 2008 (dates/month subject to change at MTVNE’s discretion).

PRIZES:

Qualifiers – MTVNE will film profiles of the Qualifiers including a performance of their music and MTVNE will be entitled to exhibit footage (and at MTVNE’s discretion the Material submitted by each Qualifier) in part or in whole for two (2) minute “Get Seen, Get Heard” packages on any one or more of MTV2, MTV Base, MTV Hits, TMF and any other MTVNE branded channels or on non-television services.

Subject to receiving sufficient quality entries in all genres, MTVNE is entitled to use the footage (and at MTVNE’s discretion the Material submitted by each Qualifier) in part or in whole to produce the following programmes/and or similar programmes all of which MTVNE shall be entitled to show on any MTVNE branded channels or on non-television services:

·         one twenty two (22) minute “Top Ten” show which MTVNE aims to exhibit on MTV Two,

·         either one twenty two (22) minute “Top Ten” show which MTVNE aims to exhibit on MTV Base or one twenty two (22) minute “Mixed Genre Top Ten” show to be exhibited on any MTVNE branded channels.

Semi Finalists – the Semi-Finalists will each be assigned an industry expert as a mentor who will spend time with them, assess their potential and give advice. MTVNE will have the right to film the Semi-Finalists during such time and to use this footage (and at MTVNE’s discretion the Material submitted by each Semi-Finalist) in part or in whole for a twenty two (22) minute “Mentoring Show” and/or similar programming which MTVNE will be entitled to exhibit on any MTVNE branded channels or on non-television services.

Finalists – the finalists will perform live in front of the panel of industry experts. MTVNE will have the right to use this footage (and at MTVNE’s discretion the Material submitted by each Finalist) in part or in whole for a twenty two (22) minute “Top 3” studio-based show and/or similar programming which MTVNE will be entitled to broadcast on any MTVNE branded channels or on non-television services.

Winners – the Winner will be invited to perform at one of MTV’s annual Spanking Brand New Music showcases or an MTVNE programme of a similar nature (in MTVNE’ sole opinion). Winner will also be invited to record a Spanking New Session which will be made available to view on www.mtv.co.uk/sessions.

  1. In the event that MTVNE cannot for any reason after reasonable efforts contact any Semi-Finalist, Finalist or Winner when required, MTVNE reserves the right to select another Entrant in their place.
  2. The judges’ decision is final. No correspondence will be entered into.
  3. MTVNE reserves the right to select an alternative Winner in the event that MTVNE has reasonable grounds for believing that a selected Winner has contravened any of these Terms and Conditions of entry.
  4. The Winners may be required to provide a written acknowledgement of acceptance of all Terms and Conditions of the competition along with a parent’s or legal guardian’s signature prior to receiving their prize.
  5. MTVNE can accept no responsibility for entries lost, delayed, misdirected, damaged or undelivered including (but not limited to) entries which are incompatible (in any way whatsoever) with the Website, whether that be due to the length of the piece or for any other reason. Incomplete, inaudible and/or illegible entries may be disqualified. MTVNE shall not be responsible for technical errors in telecommunications networks, Internet access or otherwise preventing entry to any competition. MTVNE can accept no responsibility for and shall not reimburse entrant(s) for any costs, fees or expenses incurred by entrant(s) in the production or manufacture of the Material.
  6. The prizes are as stated and are non-transferable. No cash alternatives will be offered. If due to circumstances beyond MTVNE’s control MTVNE is unable to provide a stated prize(s), MTVNE reserves the right to award a substitute prize(s) of equal value. All prizes are subject to the additional terms and conditions of the manufacturer or supplier.
  7. MTVNE shall not be liable to the winners for any loss or damage howsoever caused (whether in contract, tort or statutory duty or otherwise) arising out of or in connection with the competition and/or prize other than death or personal injury caused by negligence of MTVNE and/or MTVNE’s personnel and/or deceit or fraud by Promoter and/or Promoter’s personnel.
  8. MTVNE shall not be liable for any delay in performing or partial or total failure to perform any of its obligations to the winners under these competition Terms and Conditions if such delay or failure is caused by circumstances beyond its reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions howsoever caused including without limitation as a result of war, terrorist action or threatened terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes or arising without limitation out of or in connection with the activities of third party event organisers. For the avoidance of doubt, the affected winners shall be solely liable for any additional costs incurred as a result.
  9. By entering the competition and by reading and accepting these terms and conditions, You acknowledge that MTVNE may (but is under no obligation to) exhibit and/or distribute the Material in whole or in part in any and all media now known or hereafter invented in connection with this Oxjam competition. For the avoidance of doubt, the ownership of the Material shall remain with the You.
  10. By entering the competition and by reading and accepting these terms and conditions, You (i) hereby grant to MTVNE, and (ii) confirm that You have all necessary authority to grant the right to MTVNE to use the Material (including without limitation the necessary consents, rights and permissions from any person and in relation to any music which may appear in the Material) and allow MTVNE to transmit the Material in whole or in part within other MTVNE content relating to this Oxjam competition, for unlimited transmissions on MTVNE’s and its affiliates’ services as well as any third party sub-licensees of MTVNE worldwide, forever without further payment by Promoter and You shall indemnify MTVNE against any and all claims that may arise out of transmission of the Material provided to MTVNE by You.
  11. A list of winners can be obtained by sending a stamped, self- addressed envelope to MTV Networks Europe, Oxjam Get Seen, Get Heard Competition, PO BOX 1381, London, NW1 8XT, for one (1) month after the competition closes.
  12. Any personal information, including without limitation, the entrant's name, age, address (including postcode), telephone number and/or email address will be used solely in connection with this competition and otherwise as set out in the MTV Privacy Policy  http://www.mtv.co.uk/terms_conditions/privacy_policy unless otherwise stated herein.
  13. All entrants agree to be bound by these Terms and Conditions, which may be amended or varied at any time by MTVNE on notice.
  14. These competition Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and the courts of England shall have exclusive jurisdiction in relation to any disputes arising therefrom.

The winners of the prizes are responsible for all applicable taxes & expenses not specified in the prize description. MTVNE reserves the right to allocate prizes as it sees fit & in its absolute discretion.

Parental Consent for Entrants under eighteen (18):

I understand that MTVNE wishes to enter into these Oxjam 2007 Terms and Conditions with the Entrant named above. In return for Viacom Brand Solutions Limited paying me £1 (receipt of which I hereby acknowledge), I warrant and agree as follows:

I am the parent or legal guardian of, and have parental responsibility for, the Entrant, who lives with me at the above address;

I have read these Oxjam 2007 Terms and Conditions and understand what is required of the Entrant under it. I unconditionally guarantee the Entrant’s compliance with his/her obligations and duties to MTVNE under it and confirm that these Terms and Conditions are beneficial for the Entrant.
